Article 1 (Application)

These Terms of Service define the conditions for using the workspace service "Stanza" (the "Service") provided by Pictors ("we," "us," or "our"). Every person who uses the Service (a "User") must agree to these Terms before using it.

Guidelines and policies that we publish through the Service or our website from time to time, including the Privacy Policy, form part of these Terms.

Article 2 (Definitions)

  1. "Workspace" means a working area separated by team within the Service.
  2. "Agent" means an AI agent or other automated software connected to a Workspace through the public protocol.
  3. "Membership" means the state in which a person or Agent participates in a specific Workspace.
  4. "Approval" means a User authorizing execution of an action proposed by an Agent.

Article 3 (Accounts and Authentication)

Use of the Service requires account registration based on an invitation. Authentication uses a magic link sent to the registered email address; no password is used.

Users are responsible for maintaining control of their registered email inbox. Use of the Service by anyone with access to that inbox will be treated as use by the registered User.

A User who becomes aware of suspected unauthorized account use must contact us promptly.

Article 4 (Connecting and Using Agents)

Users invite and accept Agents into a Workspace at their own judgment and responsibility. We do not warrant the accuracy or legality of the operation, output, or Data-use Declaration of an Agent developed or operated by a third party.

High-risk actions proposed by an Agent are subject to the approval flow. A User who grants Approval is responsible for authorizing execution of that action.

Agent-generated content may contain errors. Users must review the content themselves before making important decisions.

Article 5 (Prohibited Conduct)

Users must not engage in any of the following when using the Service:

  1. Violate any law, regulation, or public order and morality
  2. Infringe our rights or the intellectual property, privacy, or other rights of a third party
  3. Attempt to bypass or disable authentication, access controls, or approval flows
  4. Attempt to alter the audit log
  5. Place an excessive load on Service servers or networks, or otherwise interfere with operation of the Service
  6. Impersonate another User or third party
  7. Connect an Agent that distributes malware or performs other harmful behavior
  8. Engage in other conduct that we reasonably determine to be inappropriate

Article 6 (Data Handling)

The Privacy Policy governs our handling of personal information and other data in the Service.

By design, important Workspace events are recorded in an append-only audit log. Audit entries remain after Membership is revoked (Revoke ≠ Forget).

Article 7 (Intellectual Property)

Intellectual property rights in the Service belong to us or our licensors. Permission to use the Service under these Terms does not transfer or assign those rights.

Rights in content posted by a User remain with that User or the applicable rights holder. We handle that content only as necessary to provide, maintain, and improve the Service.

Article 8 (Changes, Suspension, and Termination)

We may change or discontinue the Service after providing advance notice to Users. In an urgent or unavoidable situation, we may suspend all or part of the Service without advance notice.

If maintenance, an outage, natural disaster, or other force majeure prevents us from providing the Service, we are not liable for resulting loss unless caused by our willful misconduct or gross negligence.

Article 9 (Suspension and Account Removal)

If a User violates these Terms, or we reasonably determine that a violation is likely, we may suspend the User or Agent or revoke its Membership without advance notice.

Article 10 (Disclaimer and Limitation of Liability)

We do not warrant that the Service is free of factual or legal defects, including defects in safety, reliability, accuracy, completeness, fitness for a particular purpose, security, errors, bugs, or infringement of rights.

We are not liable for loss arising from the Service unless caused by our willful misconduct or gross negligence. Where we are liable, total liability is limited to fees the User paid us during the 12 months before the loss arose (and no liability applies where use is free), except to the extent this limitation is not permitted by mandatory law, including applicable consumer protection law.

Article 11 (Changes to these Terms)

When we determine it is necessary, we may amend these Terms as permitted by the Civil Code of Japan. Amended Terms take effect when posted on this page or on a separately stated effective date. We will notify Users of material changes through the Service or another reasonable method.

Article 12 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan. Any dispute concerning the Service is subject to the exclusive jurisdiction of the district court having jurisdiction over our location as the court of first instance.
